Welcome to StudioApure.com. These Terms of Use govern your access to and use of the Studio Apure website, online store, webpages, features, content, and related services, collectively referred to as the “Website.”

The Website is operated by Studio Apure, LLC (“Studio Apure,” “we,” “our,” or “us”).

By accessing or using the Website, creating an account, submitting information, or placing an order, you acknowledge that you have read, understood, and agree to these Terms of Use.

All applicable policies, including our Privacy Policy, Shipping Policy, Return and Refund Policy, warranty terms, and other policies, may be found in our Help Center, on applicable product pages, during checkout, or in the footer of the official Studio Apure Website. These policies are incorporated into these Terms of Use by reference.

If you do not agree to these Terms of Use, you must not access or use the Website.

1. Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account or place an order through the Website.

If you are under the age of legal majority, you may use the Website only with the involvement and consent of a parent or legal guardian who agrees to be responsible for your use of the Website.

By using the Website or placing an order, you represent that you have the legal capacity and authority to agree to these Terms of Use.

2. Permitted Use of the Website

You may use the Website only for lawful personal purposes or legitimate business purposes related to evaluating or purchasing Studio Apure products and services.

You agree not to:

• Violate any applicable law, regulation, court order, or third-party right.

• Attempt to bypass, test, probe, or defeat Website security or authentication measures.

• Impersonate another person or misrepresent your identity, authority, affiliation, or relationship with Studio Apure.

• Provide false, misleading, fraudulent, or unauthorized billing, shipping, account, tax, resale, or payment information.

• Use the Website in connection with fraud, payment abuse, return abuse, chargeback abuse, or other unlawful conduct.

• Copy, reproduce, modify, distribute, transmit, publish, sell, license, reverse engineer, or commercially exploit any part of the Website except as expressly authorized by Studio Apure.

• Submit content that is unlawful, threatening, defamatory, deceptive, infringing, harmful, or otherwise inappropriate.

We may investigate suspected violations and may cooperate with service providers, payment providers, regulators, courts, or law enforcement where reasonably necessary or legally required.

3. Accounts

Certain Website features may require you to create or use an account.

You agree to provide accurate, complete, and current information and to update your information when necessary.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

You must notify us promptly if you believe your account credentials have been lost, stolen, compromised, or used without authorization.

4. Product Information

We make reasonable efforts to present product descriptions, specifications, dimensions, finishes, colors, materials, photographs, availability, and other information accurately.

Actual colors and appearances may vary based on lighting conditions, photography, image processing, screen settings, device settings, production tolerances, materials, and other factors.

Measurements and dimensions may be approximate unless expressly identified as exact.

Materials, finishes, and manufacturing processes may result in reasonable variations between individual products or production batches. Reasonable variations do not necessarily constitute defects.

Product images, renderings, room settings, furniture, accessories, props, and surrounding objects may be shown for illustrative purposes and are not included unless expressly stated.

Product packaging, components, specifications, finishes, accessories, and availability may be modified without notice, provided that any modification does not materially reduce the essential functionality of an accepted order unless otherwise disclosed or agreed.

You are responsible for reviewing the product description, dimensions, specifications, compatibility information, care instructions, warnings, and other available information before placing an order.

5. Pricing, Availability, and Orders

Prices, promotions, discounts, availability, shipping charges, taxes, fees, and other Website information are subject to change before an order is accepted.

Prices are displayed in the currency indicated on the Website and may exclude taxes, duties, customs charges, shipping, handling, installation, or other charges unless expressly stated.

Placing a product in your shopping cart does not reserve the product, guarantee availability, or preserve its price.

Your submission of an order constitutes an offer to purchase the selected products under these Terms of Use and the policies applicable to the order.

An automated email, order acknowledgment, payment authorization, or confirmation that we received your order does not necessarily constitute acceptance of the order.

An order is generally accepted when we approve it for fulfillment or ship the product, whichever occurs first.

Studio Apure may reasonably reject, limit, hold, or cancel an order before shipment or fulfillment for reasons including:

• Product unavailability.

• Pricing, description, promotional, or technical errors.

• Suspected fraud, unauthorized activity, payment risk, or return abuse.

• Inaccurate or incomplete customer, billing, shipping, tax, or payment information.

• Inability to verify information associated with the order.

• Violation of these Terms of Use or another Studio Apure policy.

• An order quantity that appears intended for unauthorized resale or distribution.

• Restrictions imposed by a payment provider, carrier, manufacturer, governmental authority, sanctions program, or applicable law.

• Circumstances outside our reasonable control.

We may correct typographical, pricing, promotional, technical, or product-description errors at any time.

If an error affects an order you submitted, we may contact you with corrected information, cancel the affected item or order, or provide you with an opportunity to proceed under the corrected terms.

If we cancel a paid order, we will refund the amount collected for the canceled portion using the original payment method or another legally permitted method.

We may limit quantities purchased per customer, household, business, account, payment method, billing address, shipping address, or order.

6. Payment and Taxes

You agree to provide accurate, current, and complete billing and payment information.

By submitting a payment method, you represent that you are authorized to use it and authorize Studio Apure and its payment providers to charge all amounts associated with your order.

Payment may be authorized or collected before an order is accepted or shipped.

A temporary authorization hold may appear on your payment account until released by your financial institution.

We may request reasonable additional information to verify a transaction or prevent fraud.

You remain responsible for amounts lawfully due if a payment is reversed, disputed, or charged back without a valid basis.

You are responsible for applicable sales, use, value-added, customs, import, or other taxes and governmental charges, except taxes imposed directly on Studio Apure’s income.

For international shipments, the recipient may be responsible for customs duties, import taxes, brokerage fees, clearance fees, or other charges imposed by the destination country or carrier.

Studio Apure does not control governmental assessments and is not responsible for delays caused by customs or import procedures.

7. Shipping and Delivery

Orders are subject to the Shipping Policy and any shipping terms disclosed during checkout, on the applicable product page, in a quotation, or in an order confirmation.

Shipping, production, and delivery dates are estimates unless Studio Apure expressly agrees otherwise in writing.

Estimated dates may be affected by product availability, production schedules, carrier delays, customs, weather, labor disruptions, supply-chain conditions, incorrect information, or other circumstances outside our reasonable control.

To the fullest extent permitted by law, Studio Apure is not responsible for delays caused by carriers, customs authorities, incorrect or incomplete addresses, failed delivery attempts, or circumstances outside our reasonable control.

You are responsible for reviewing the shipping address before submitting an order. We may rely on the shipping information provided with the order.

Risk of loss and title will transfer as stated in the applicable Shipping Policy, quotation, order confirmation, or other written sales terms, subject to applicable law.

You should inspect delivered packages promptly and report visible shipping damage, missing items, or delivery discrepancies within the period stated in our applicable policies.

8. Returns, Refunds, Exchanges, and Warranties

Returns, refunds, exchanges, cancellations, store credits, and any applicable restocking or handling fees are governed by the Return and Refund Policy in effect at the time of purchase and any product-specific terms disclosed before purchase.

Products must satisfy the applicable eligibility, condition, authorization, documentation, packaging, and timing requirements.

Certain products may be final sale or ineligible for return, including customized, personalized, made-to-order, special-order, clearance, opened, used, damaged, altered, installed, or otherwise excluded products, where disclosed and permitted by law.

Receiving a return authorization or shipping label does not guarantee that a refund or exchange will be approved.

Returned products may be inspected before a refund, store credit, replacement, or exchange is issued.

A refund may be reduced or denied where permitted by law if a returned product is incomplete, damaged, altered, used beyond reasonable inspection, improperly packaged, missing accessories, or otherwise returned in a condition inconsistent with the applicable policy.

Products may be covered by a separate written limited warranty provided by Studio Apure, a manufacturer, or another warranty provider.

The applicable written warranty will govern warranty coverage, exclusions, claim requirements, remedies, and duration.

Unauthorized statements made by resellers, affiliates, creators, installers, contractors, or other third parties do not create or modify a Studio Apure warranty unless expressly confirmed by Studio Apure in writing.

Nothing in these Terms of Use limits any nonwaivable return, refund, warranty, cancellation, or consumer right provided by applicable law.

9. Proper Product Use and Installation

Products must be used only for their intended purpose and in accordance with all instructions, specifications, warnings, care requirements, safety information, and applicable laws.

You are responsible for determining whether a product is suitable for your intended location, environment, application, electrical system, surface, or use.

Where professional installation, assembly, mounting, wiring, maintenance, or repair is recommended or required, the work must be completed by a properly qualified and, where applicable, licensed professional.

You must not misuse, overload, disassemble, improperly install, improperly maintain, alter, or modify a product in a manner inconsistent with its intended purpose or instructions.

To the fullest extent permitted by law, Studio Apure is not responsible for damage, loss, malfunction, injury, or other consequences caused by:

• Improper use, storage, handling, assembly, mounting, installation, wiring, maintenance, repair, alteration, or modification.

• Use contrary to instructions, warnings, specifications, or applicable codes.

• Use with incompatible components, power supplies, accessories, controls, electrical systems, or third-party products.

• Normal wear and tear.

• Accidents, misuse, abuse, neglect, unauthorized repair, environmental conditions, power irregularities, or external causes.

• Failure to use a properly qualified professional where professional installation or service is required.

Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited.

10. Intellectual Property

The Website and its contents, design, features, and functionality are owned by Studio Apure, its affiliates, licensors, or other content providers and are protected by applicable copyright, trademark, design, patent, trade dress, and other intellectual-property laws.

Protected materials may include:

• The Studio Apure name and logos.

• Product names, collection names, trademarks, slogans, and trade dress.

• Product and industrial designs.

• Photographs, videos, renderings, graphics, illustrations, icons, and animations.

• Website design, page layouts, interfaces, software, source code, and functionality.

• Text, product descriptions, editorial content, marketing materials, manuals, specifications, and technical documentation.

Studio Apure grants you a limited, revocable, nonexclusive, and nontransferable right to access and use the Website for lawful personal use or legitimate evaluation and purchase of Studio Apure products.

This limited permission does not transfer ownership of any content or intellectual property.

You may not copy, reproduce, republish, distribute, modify, sell, sublicense, publicly display, create derivative works from, frame, mirror, or commercially exploit Website content without our prior written permission.

You may not use Studio Apure content, product images, designs, or other materials to train, develop, test, or improve an artificial intelligence system, machine-learning model, or automated content-generation system without our prior written permission.

Authorized resellers, affiliates, creators, and business partners may use approved Studio Apure materials only in accordance with their applicable agreements, permissions, and brand guidelines.

We may revoke permission to use our materials when the use is inaccurate, outdated, misleading, unauthorized, harmful to the brand, or inconsistent with an applicable agreement.

11. Reviews, Feedback, and User Submissions

The Website may allow you to submit reviews, photographs, videos, comments, feedback, questions, testimonials, or other materials, collectively referred to as “User Content.”

You retain any ownership rights you hold in your User Content.

By submitting User Content to Studio Apure, you grant Studio Apure a nonexclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, adapt, edit, publish, distribute, display, and otherwise use the User Content in connection with our Website, products, services, marketing, social media, and business operations, subject to applicable law.

You represent that:

• You own or control the rights necessary to submit the User Content.

• The User Content does not violate another person’s privacy, publicity, copyright, trademark, contractual, or other rights.

• The User Content is not unlawful, fraudulent, defamatory, threatening, harassing, obscene, or misleading.

• Any review, endorsement, or testimonial reflects your honest opinion and actual experience.

We may remove or decline to publish User Content that violates these Terms of Use, applicable law, platform rules, or another person’s rights.

We are not required to publish, retain, or respond to User Content.

Nothing in these Terms of Use prevents you from providing an honest review or opinion regarding Studio Apure, its products, services, or conduct.

If you voluntarily provide product concepts, business proposals, suggestions, designs, or other ideas, Studio Apure may use that feedback without restriction or compensation unless otherwise agreed in writing.

Do not submit confidential, proprietary, or commercially sensitive ideas unless Studio Apure has agreed in writing to receive them on a confidential basis.

12. Third-Party Services, ShopMy, and Affiliates

The Website may contain links to or integrations with third-party websites, applications, payment providers, return portals, social media platforms, shipping providers, affiliate platforms, or other services.

Third-party services may be governed by their own terms, policies, fees, and privacy practices.

Studio Apure does not own or control independent third-party services and is not responsible for their availability, content, security, accuracy, products, services, policies, or conduct.

The inclusion of a link or integration does not necessarily constitute an endorsement.

Studio Apure may participate in ShopMy and other creator, affiliate, gifting, referral, attribution, or commission programs.

Creators and affiliates may receive products, commissions, incentives, or other benefits in connection with qualifying content, referrals, links, or purchases.

A creator’s or affiliate’s statements, recommendations, opinions, or content are their own unless Studio Apure expressly states otherwise.

Creators and affiliates are not authorized to modify these Terms of Use, make warranties on behalf of Studio Apure, bind Studio Apure contractually, or make representations inconsistent with official Studio Apure materials.

Affiliate tracking and related data practices are described in our Privacy Policy and Cookie controls.

13. Privacy

Our collection, use, disclosure, and retention of personal information are described in our Privacy Policy.

The Privacy Policy is incorporated into these Terms of Use by reference but is not intended to create contractual rights beyond those required by applicable law.

Where consent is legally required for a particular data practice, consent will be requested through the applicable mechanism.

Your use of the Website does not by itself constitute consent to every data practice described in the Privacy Policy.

14. Website Availability and Disclaimers

We may modify, update, suspend, restrict, or discontinue any part of the Website at any time.

We do not guarantee that the Website, its content, account features, integrations, or services will always be available, uninterrupted, complete, current, secure, or error-free.

To the fullest extent permitted by law, Studio Apure’s total aggregate liability arising from a product, order, or transaction will not exceed the amount paid directly to Studio Apure for the specific product or transaction giving rise to the claim.

The exclusions and limitations in this section do not apply to liability that cannot lawfully be excluded or limited.

Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, Studio Apure’s liability will be limited only to the maximum extent permitted by law.

To the fullest extent permitted by law, you agree to indemnify and hold harmless Studio Apure and its members, managers, officers, employees, affiliates, licensors, contractors, service providers, and representatives from claims, liabilities, losses, damages, costs, and reasonable attorneys’ fees arising from:

• Your unlawful or unauthorized use of the Website.

• Your material violation of these Terms of Use.

• Your User Content.

• Your infringement or violation of another person’s rights.

• Fraudulent, abusive, or unauthorized activity conducted through your account.

• Your unauthorized modification, misuse, or improper installation of a product.

This indemnification obligation does not apply to the extent a claim was caused by Studio Apure’s conduct for which indemnification cannot lawfully be required.

16. Termination

We may suspend, restrict, or terminate your access to the Website or your account if:

• You violate these Terms of Use or another applicable policy.

• We reasonably suspect fraud, abuse, unauthorized activity, or a security risk.

• Your use creates legal, operational, or security risks.

• We are required to do so by law, court order, payment provider, service provider, or governmental authority.

• We discontinue the applicable Website feature or service.

You may stop using the Website at any time.

Termination does not affect rights, remedies, payment obligations, or liabilities that arose before termination.

Provisions that by their nature should continue after termination, including intellectual-property provisions, disclaimers, liability limitations, indemnification, governing law, and payment obligations, will remain effective.

17. Governing Law and Disputes

These Terms of Use and any dispute arising out of or relating to them, the Website, or your use of the Website will be governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

To the fullest extent permitted by applicable law, any legal action arising out of or relating to these Terms of Use or the Website must be brought in a state or federal court located in Miami-Dade County, Florida.

You and Studio Apure consent to the jurisdiction of those courts and waive objections to venue to the fullest extent permitted by law.

Nothing in this section prevents either party from bringing an eligible matter in small claims court or seeking appropriate relief to protect intellectual property, confidential information, systems, accounts, or security.

Nothing in these Terms of Use deprives a consumer of mandatory protections provided by the laws of the consumer’s jurisdiction where those protections cannot lawfully be waived.

18. General Terms

We may update these Terms of Use periodically to reflect changes in our Website, products, policies, business practices, or legal requirements.

Updated Terms of Use will be posted on the Website with a revised Effective Date.

Changes will apply prospectively unless applicable law permits or requires otherwise. Where required by law, we may provide additional notice of material changes.

The Terms and policies in effect when an order is accepted will generally govern that order, unless a change is required by law or agreed to in writing.

If Studio Apure does not immediately enforce a provision of these Terms of Use, that does not waive our right to enforce it later.

If any provision is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

You may not assign or transfer your rights or obligations under these Terms of Use without our prior written permission.

Studio Apure may assign or transfer its rights and obligations in connection with a merger, acquisition, financing, restructuring, sale of assets, corporate reorganization, or similar business transaction, subject to applicable law.

These Terms of Use, together with the Privacy Policy, Shipping Policy, Return and Refund Policy, applicable warranty, product-specific terms, order confirmation, quotation, and any other terms expressly incorporated into a transaction, constitute the agreement between you and Studio Apure concerning the Website and applicable online transaction.

If a separately signed written agreement or transaction-specific quotation conflicts with these Terms of Use, the separately signed agreement or transaction-specific terms will control regarding the subject matter of the conflict.

Studio Apure will not be responsible for delays or failures caused by circumstances outside its reasonable control, including natural disasters, severe weather, transportation interruptions, carrier delays, supply shortages, manufacturing delays, labor disruptions, governmental actions, customs delays, utility failures, cyberattacks, or failures of third-party service providers.
